Terms of Service
Last updated September 4, 2026
1. Agreement to Terms
These Terms of Service (“Terms”) are a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and Vector & Frank, Inc., a Wyoming corporation (“Vector & Frank,” “we,” “us,” or “our”), governing your access to and use of https://vectorfrank.com and any related pages, media, or content (collectively, the “Site”).
By accessing or using the Site, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Site immediately.
We may update these Terms from time to time. We'll update the "Last updated" date above when we do, and your continued use of the Site after a change means you accept the revised Terms.
The Site is intended for business use by individuals at least 18 years of age. It is not directed at, and we do not knowingly collect information from, anyone under 18.
2. What These Terms Cover
These Terms govern your use of the Site only — browsing our marketing pages, booking a workflow audit through our scheduling tool, and similar activity.
If you engage Vector & Frank for a workflow audit, automation build, or ongoing production service, that engagement will be governed by a separate written agreement between you and Vector & Frank (a statement of work, master services agreement, or similar). If anything in these Terms conflicts with that separate agreement, the separate agreement controls for matters within its scope.
3. Intellectual Property Rights
Unless otherwise indicated, the Site is our proprietary property. All source code, design, text, graphics, and other content on the Site (the “Content”), and our trademarks, logos, and brand elements (the “Marks”), are owned by or licensed to us and are protected by copyright, trademark, and other intellectual property laws.
You're granted a limited, non-exclusive license to access and use the Site, and to view or print pages for your own reference, for your personal or internal business use. Beyond that, no part of the Site or its Content may be copied, republished, distributed, or otherwise commercially exploited without our prior written permission.
4. User Representations
By using the Site, you represent that: (1) you have the legal capacity to agree to these Terms; (2) you're not a minor in your jurisdiction; (3) you won't access the Site through automated means (bots, scrapers) except standard search engine indexing; (4) you won't use the Site for any unlawful purpose; and (5) your use of the Site won't violate any applicable law or regulation.
5. Prohibited Activities
You agree not to:
- Systematically scrape or extract data or content from the Site to build a separate collection, database, or compilation.
- Circumvent, disable, or interfere with any security-related features of the Site.
- Upload or transmit viruses, malware, or other harmful code.
- Use any automated system (bots, scrapers, data-mining tools) against the Site, other than standard search engine crawling.
- Attempt to decompile, reverse-engineer, or otherwise access the Site's underlying source code except as permitted by law.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Use the Site to violate any applicable law or the rights of any third party.
6. Booking Tool & Third-Party Links
The Site uses Calendly (or a similar scheduling tool) to let you book a workflow audit call. Your use of that scheduling tool is subject to that provider's own terms and privacy policy, not just ours — see our Privacy Policy for more on how that works.
The Site may also link to other third-party websites or content we don't control. We're not responsible for the content, accuracy, or practices of any third-party site, and linking to it doesn't mean we endorse it. If you leave our Site, these Terms no longer apply.
7. Site Management
We reserve the right, but not the obligation, to monitor the Site for misuse, take legal action against anyone who violates the law or these Terms, and otherwise manage the Site to protect its proper functioning and our rights.
8. Corrections
The Site may contain typographical errors, inaccuracies, or outdated information. We reserve the right to correct any errors and update Site content at any time without notice.
9. Term and Termination
These Terms remain in effect while you use the Site. We may deny access to the Site to any person, for any reason, at our sole discretion, including for a breach of these Terms.
10. Modifications and Interruptions
We may change, update, suspend, or discontinue all or part of the Site at any time, without notice, and without liability to you for doing so. We don't guarantee the Site will always be available or error-free.
11. Governing Law
These Terms and your use of the Site are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.
12. Dispute Resolution
Informal negotiations. Before filing any claim, you and Vector & Frank agree to try to resolve any dispute informally for at least 30 days, starting from written notice by either party to the other.
Binding arbitration. If informal negotiation doesn't resolve the dispute, it will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court. You and Vector & Frank each waive the right to a jury trial and to participate in a class action. Arbitration will take place in Cheyenne, Wyoming, or as otherwise required by the applicable AAA rules.
Exceptions. Either party may still bring a claim in court to seek injunctive relief, or to protect intellectual property rights, without going through arbitration first.
13. Disclaimer
The Site is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Site will be uninterrupted, secure, or error-free.
14. Limitation of Liability
To the fullest extent permitted by law, Vector & Frank and its officers, employees, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Site, even if advised of the possibility of such damages. Our total liability to you for any claim arising from the Site will not exceed one hundred dollars ($100). This limitation applies only to your use of the Site itself; it does not apply to any paid service engagement, which is governed by the separate agreement referenced in Section 2.
15. Indemnification
You agree to defend and indemnify Vector & Frank and its officers, employees, and agents against any claim, loss, or liability (including reasonable attorneys' fees) arising from your use of the Site, your violation of these Terms, or your violation of any third party's rights.
16. Electronic Communications
By using the Site or contacting us electronically, you consent to receive communications from us electronically, and you agree that electronic communications satisfy any legal requirement that such communications be in writing.
17. Miscellaneous
These Terms constitute the entire agreement between you and us regarding the Site. If any provision is found unenforceable, the remaining provisions stay in effect. We may assign these Terms at any time. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and us.
